Terms of Service

1. Acceptance of Terms

By accessing or using VoxGraph ("Service"), operated by 17798415 Canada Inc. ("Company", "we", "us", "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Service

VoxGraph provides CI/CD, testing, and observability tooling for Voice AI applications, including live production monitoring, synthetic testing, and prompt management capabilities. The Service is designed for use by software development teams and organizations building Voice AI products.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use VoxGraph. The Service is not intended for use by individuals under the age of 18. By using the Service, you represent and warrant that you meet these requirements.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and update your information to keep it accurate; (c) notify us immediately of any unauthorized access to or use of your account; and (d) ensure that you sign out of your account at the end of each session.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or in violation of these Terms.

5. Acceptable Use

You agree not to misuse the Service. Without limiting the foregoing, you shall not:

• Attempt to gain unauthorized access to systems, networks, or data belonging to VoxGraph or other users.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Use the Service for any unlawful, fraudulent, or malicious purpose.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Submit data that contains malware, viruses, or other harmful code.
• Use the Service to transmit unsolicited commercial communications (spam).
• Resell, sublicense, or redistribute the Service without our prior written consent.
• Use the Service to process, store, or transmit data in violation of any applicable law, regulation, or third-party rights.

Violation of this section may result in immediate suspension or termination of your account without notice or refund.

6. Your Data

You retain all rights and ownership of the data you submit to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive, worldwide license to process Your Data solely for the purpose of providing and improving the Service.

You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data. You represent and warrant that you have all necessary rights and consents to submit Your Data to the Service, including any personal data of third parties (such as voice recordings or transcripts of end users).

7. Intellectual Property

All content, features, functionality, software, and technology of the Service — including but not limited to text, graphics, logos, APIs, and proprietary algorithms — are owned by 17798415 Canada Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

8. Third-Party Services

The Service may integrate with or rely on third-party services (including but not limited to cloud providers, LLM providers, and telephony services). We are not responsible for the availability, accuracy, or practices of any third-party service. Your use of third-party services is governed by their respective terms and privacy policies.

9. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not be disclosed to any third party without the disclosing party's prior written consent, except as required by law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

While we implement industry-standard security practices and architectural best practices, VoxGraph does not currently hold any formal compliance certifications (such as SOC2, HIPAA, ISO 27001, or similar). We make no representations or warranties regarding compliance with any specific regulatory or industry framework. Users requiring certified compliance should independently verify that the Service meets their regulatory requirements before use.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Service will meet your specific requirements; or (d) the results obtained from the Service (including AI-generated evaluations, prompt suggestions, and test results) will be accurate, reliable, or suitable for any particular purpose.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOXGRAPH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF — OR INABILITY TO USE — THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO VOXGRAPH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless VoxGraph and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) Your Data.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete Your Data after a reasonable retention period (typically 30 days); and (c) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 7, 10, 11, 12, and 15.

You may terminate your account at any time by contacting us. Upon request, we will provide a reasonable opportunity to export Your Data prior to deletion.

14. Force Majeure

VoxGraph shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, war, terrorism, power outages, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the ADR Institute of Canada, with the arbitration to take place in Toronto, Ontario.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by: (a) updating the "Last updated" date at the top of this page; and (b) providing notice through the Service or via email for significant changes. Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and VoxGraph with respect to the Service and supersede all prior or contemporaneous agreements and communications.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Notices: All notices to VoxGraph must be sent in writing to the contact address below. Notices to you will be sent to the email address associated with your account.
